| Experience/Representative Matters: |
- Represents Saudi Arabian and international clients in matters such as reviewing and preparation of various commercial agreements; joint venture agreements; public and private leasing and lending arrangements; shareholder disputes; franchising and licensing issues; drafting and amending Articles of Association and shareholder resolutions; incorporating companies and obtaining permissions for doing business from various authorities such as Saudi Arabian Ministry of Petroleum and Minerals.
- Represents clients before all courts in Saudi Arabia (Sharia’a Courts), the Board of Grievance, Arbitration boards, Banks Dispute Settlement Committees, Ministry of Commerce, King Abdulaziz City for Sciences and Technology (KACST), and the patent office (GCC) in Riyadh.
- Represented several foreign clients in incorporating their business in Saudi Arabia through Saudi Arabian General Investment Authority.
- Represents commercial banks and financial institutions in a broad range of commercial financing transactions including drafting various business and service agreements and developing innovative transactional structures such as local/international brokerage portfolio agreements, Discretionary Trading Authorization, margin trading, option trade agreements including trading through internet, telephone, fax and IVR.
- Represents clients in various types of commercial litigation involving partnerships, partners, sole proprietors, corporations and corporate officers, directors and shareholders. This includes litigation involving management and corporate control issues, shareholder rights, shareholder disputes, contract disputes, employment agreements, and financial transaction disputes.
- Represented shareholders of major companies in Saudi Arabia concerning share recovery litigations.
- Represented a hotel management company in structuring its management agreement.
- Represented real estate companies concerning their business affairs such as extended investment agreements; leasing and selling agreements; loans and mortgage structuring and agreements. Worked on real estate transactions including but not limited to land acquisition, title deed issuance, etc.
- Represented institutions related to redundancy issues and drafting various related settlement agreements and all other necessary procedures which involves a large group of the workforce.
- Represented clients before the Saudi Courts and labor tribunals in various litigation matters involving commercial, civil and commercial papers. |
